Terms of Use

Publisher terms for the AIRewards SDK. Last updated: October 17, 2026 · Version 1.0

1. Agreement and parties

These Terms of Use (“Terms”) are a binding agreement between Bajaar LLC (“AIRewards”, “Jutera”, “we”) and the company or person registering a publisher account (“Publisher”, “you”). By creating an account, accessing the dashboard, or integrating the widget or APIs, you accept these Terms and the Privacy Policy. If you integrate on behalf of a company, you represent that you have authority to bind it. End users of Publisher’s properties are not parties to these Terms; Publisher’s own terms with its users govern that relationship, subject to Section 7.

2. The service

AIRewards provides: (a) an embeddable AI chat widget/webview in which end users ask questions, compare two anonymous AI-generated responses, select a preferred response with feedback attributes, and view advertising at the end of the chosen response; (b) publisher keys, signed launch-token and webhook infrastructure delivering reward.earned events; (c) availability and reporting APIs; and (d) a publisher dashboard and documentation. Advertising inventory in the widget is selected, served, and administered solely by AIRewards through its mediation partners. AI model responses are generated by third-party models routed through our provider infrastructure and may be inaccurate; the service is provided for entertainment, engagement, and rewarded-activity purposes.

3. Accounts, keys, and security

Publisher is responsible for its account, team members and roles, and all activity under its keys. The secret key (sk_…) and webhook secret (whsec_…) must be kept server-side and confidential; Publisher is liable for events and API calls made with its keys except where caused by a security breach of AIRewards’ systems. AIRewards may suspend keys reasonably suspected of compromise. Approval for live (payable) operation is at AIRewards’ discretion (“Live Approval”) and may be conditioned on traffic-quality review, payout information, and tax-form completion. Test-mode use does not create any right to payment.

4. Integration requirements

Publisher must integrate as documented: signed launch tokens for live traffic (unsigned launch is test-only), webhook signature verification and idempotent processing on event_id, and no modification of the widget, loader, or ad experience. Publisher must not: disable, block, obscure, overlay, incentivise skipping of, or interfere with advertising or its labelling; misrepresent the earning mechanic to end users (including guaranteeing rewards AIRewards has not confirmed); use the service with audiences the integration was not approved for; or place the widget where its use violates ad-network, app-store, or platform policies applicable to Publisher.

5. Fees, revenue share, floors, holds, and adjustments

There is no setup fee unless stated in an order form. For each settled reward.earned event, Publisher earns the percentage of net ad revenue specified in its account (default 60%; “net” means amounts actually received from advertising partners for attributable impressions, less deductions those partners apply), or, if a minimum per-event floor is enabled on the account in the admin settings, the greater of that share and the stated floor. Amounts accrue as provisional, become payable after the account hold period (default 7 days) and reconciliation, and are paid monthly in USD above the account threshold (default $50) by the recorded method. AIRewards may reverse or offset amounts attributable to fraud, invalid traffic, policy violations, network clawbacks or adjustments, duplicates, or errors — before payment by reversal, after payment by offset against future amounts (or repayment on demand if there are none). Publishers are responsible for crediting their end users under their own terms; AIRewards never owes any amount to end users. Tax forms and information reasonably required (for example W-9/W-8) are conditions of payment; amounts may be subject to applicable withholding and reporting.

6. Acceptable use; invalid traffic

Publisher must not generate or procure invalid traffic: automated, scripted, incentivised-to-defraud, self-generated, or otherwise artificial questions or picks; manufactured or shared end-user identities; VPN or farm traffic intended to inflate earnings; or content that is unlawful or infringing. AIRewards may apply caps, rate limits, availability controls, bans, and holds, and may withhold amounts reasonably tied to invalid traffic (subject to Section 5, and, where practicable, notice with the coarse reason category). Our fraud determinations, made in good faith from system signals, are final for payment purposes, without limiting Publisher’s right to raise documented errors.

7. End-user terms alignment

Publisher’s consumer-facing terms must accurately describe the rewarded activity, that advertising appears as part of the experience, that AI responses may be inaccurate, and Publisher’s own reward-crediting and reversal practices. Publisher must display or link AIRewards’ end-user privacy disclosures as instructed in the documentation, and must not state that AIRewards endorses Publisher or sets Publisher’s rewards currency or amounts.

8. Intellectual property; licence

AIRewards and its licensors own the service, widget, documentation, mediation system, and aggregated preference data generated through the service. Publisher receives a non-exclusive, non-transferable, revocable licence to integrate and use the service as documented during the term. Publisher retains ownership of its properties and its end-user relationships; Publisher grants AIRewards a licence to process integration data as needed to operate, secure, and improve the service per the Privacy Policy. Feedback Publisher provides may be used without obligation.

9. Non-competition; no reverse engineering

Publisher agrees that, during the term and for 12 months thereafter, Publisher will not, directly or through affiliates, agents, or nominees: (a) develop, launch, acquire, or operate a product whose primary function is providing third-party publishers with rewarded anonymous-AI-response comparison (AI “duel”) inventory monetised by conversational advertising — that is, a competing white-label rewarded-AI-search service; (b) access the service, dashboard, documentation, or widget for the purpose of evaluating, designing, benchmarking for, or building such a competing product, including by creating test accounts or procuring others to do so; or (c) reverse engineer, decompile, scrape, probe for non-public logic (including mediation weights, model-pool composition, fraud thresholds, or provider credentials), or circumvent technical measures of the service, except to the limited extent applicable law prohibits restricting such acts. This section does not prohibit Publisher from operating its own general rewards platform, using other earning-activity providers that are not clones of the duel mechanic, or independently developing products without use of AIRewards’ confidential information. If any part of this section is held unenforceable, it will be reformed to the minimum extent necessary under Section 15.

10. Confidentiality

Non-public information exchanged (including revenue-share and floor terms, keys, reporting data, and product roadmaps) is confidential; each party will use it only to perform under these Terms and protect it with reasonable care. Public documentation and the existence of the commercial relationship (name and logo use only with consent) are not confidential.

11. Term, suspension, termination

These Terms apply from acceptance until terminated. Either party may terminate for convenience on 30 days’ notice via the dashboard or email; AIRewards may suspend or terminate immediately for material breach, invalid traffic, legal or policy risk, or ad-network requirement. On termination: integrations must be removed, keys are revoked, accrued payable amounts are paid subject to holds, adjustments, and a final reconciliation period of up to 90 days (extended for fraud investigation), and Sections 5 (accrued), 8–16 survive.

12. Disclaimers

THE SERVICE, AI RESPONSES, AND ADVERTISING ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF AI OUTPUT, AD FILL, REVENUE LEVELS, OR UNINTERRUPTED OPERATION. Ad fill and revenue are never guaranteed; floors apply only where expressly enabled per Section 5. Publisher is responsible for its integration choices and for compliance of its properties.

13. Limitation of liability; dispute resolution; waivers

TO THE MAXIMUM EXTENT PERMITTED BY LAW: NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR LOST-PROFIT DAMAGES; AIREWARDS’ AGGREGATE LIABILITY ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNTS PAID OR PAYABLE TO PUBLISHER IN THE 3 MONTHS BEFORE THE CLAIM (OR $100 IF NONE). Nothing limits liability that cannot be limited by law, amounts owed for settled payable revenue, or breaches of Sections 8–10.

Binding arbitration; jury-trial and class-action waiver. Any dispute arising out of or relating to these Terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Delaware, except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property or confidentiality breaches in a court of competent jurisdiction. Both parties waive any right to a jury trial and any right to participate in a class, collective, consolidated, or representative action. Claims must be brought in an individual capacity only. If this arbitration agreement is held unenforceable as to a claim, that claim will be brought exclusively in the state or federal courts located in Delaware, and the jury-trial and class-action waivers above will still apply to the fullest extent permitted by law.

14. Indemnification

Publisher will defend and indemnify AIRewards against third-party claims arising from Publisher’s properties, its end-user terms and reward promises, its integration misuse, and its content or data. AIRewards will defend and indemnify Publisher against claims that the unmodified service as provided infringes U.S. intellectual-property rights, subject to customary exclusions (combinations, misuse, Publisher instructions).

15. Governing law; severability; assignment; notices; changes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. If any provision (including Sections 9 or 13) is held unenforceable, it will be reformed to the minimum extent necessary or severed, and the remainder continues in effect. Neither party may assign these Terms without consent, except to a successor in a sale of substantially all assets or business (AIRewards may assign to an affiliate or successor without consent). AIRewards may update these Terms with notice by email or dashboard; continued live use after the effective date is acceptance, and material adverse changes give Publisher a termination right before effectiveness. These Terms plus account settings and any order forms are the entire agreement for the service and supersede prior discussions. Notices go to the account email on file, or to AIRewards via the publisher dashboard.
